Contest Terms
“(Gimme Dat Mic)”

ANY ENTRY IS NULL AND VOID IF PROHIBITED BY LAW OR BY THE RULES.
ARTICLE 1: The Organizer
Twelve-App, a simplified joint-stock company, having its registered office at 59 rue de Ponthieu,
75008 Paris, and registered at the Trade and Companies Registry of Paris under the number 810 283
507, hereinafter referred to as the “Organizer”, organizes a contest named “Gimme Dat Mic”,
following these “Contest Terms”.
ARTICLE 2: Access and duration
“Gimme Dat Mic” (Contest) is opened to participation from May 14th, 2021, 8:00 p.m. (Los Angeles
Time), to May 15th, 2021. The Contest shall take place from May 14th, 2021 to May 29th, 2021.
Participation, reserved to Yubo application’s users, is open to any individual of legal age, or minor
with the consent of his/her legal guardian(s), with the exception of the members of the Organizer’s
personnel that organized the Contest and their family (“Participant(s)”). The Participant who is a
minor is recognized to have the consent of his/her parent(s) or legal guardian(s) to enter the Contest.
Any entry is null and void if prohibited by law.
ARTICLE 3: Participation requirements
To participate in the Contest, the Participant must first have a smartphone and a mobile phone plan
giving access to the Internet. The Organizer is not responsible for costs related to the acquisition of its
prior means of participation in the Contest. The Participant must also have downloaded the Yubo
application and created an account on it.
To participate in the Contest, the Participant has to connect on the Yubo application on May 14th,
2021, from 8:00 p.m. to 9:30 p.m. (Los Angeles Time); or on May 15th, 2021, from 8:00 p.m. to 9:30
p.m. (Los Angeles Time); and enter the live stream launched by the Organizer on the Yubo
application. During these live streams, the Organizer will select the Participants to the Contest (the
“Shortlisting”), within the time limit provided in ARTICLE 4.
No other methods of entry will be accepted. Only one entry per individual will be accepted. The entry
in the Contest does not constitute entry into any other promotion, competition. By participating in the
Contest, each Participant unconditionally accepts and agrees to comply with and abide by these official rules and the decisions of the Sponsor, whose decisions shall be final and legally binding in all
respects.
All entries are subject to verification by the Organizers. The entries that do not respect the specified
requirements below or that do not respect the Official Rules contained herein may be disqualified.
Any attempt of participation, in a different way from the one described herein, is null. In accordance
with the Official Rules of the Contest, the Organizers will determine at their own discretion what
constitutes a valid entry.
ARTICLE 4: Contest principle
The Contest is a singing contest, in English, organized by the Organizer on its social network, the
mobile application Yubo. The goal of the Contest for the Participant is to win the Prize (see in
ARTICLE 6). The Prize is won by the Winner of the Contest (see hereinunder).
During the Contest, and to win the Prize, the Participants have to go through three trials:
1/ The Shortlisting
- On May 14th, 2021, from 8:00 p.m. to 9:30 p.m. (Los Angeles Time); or on May 15th, 2021,
from 8:00 p.m. to 9:30 p.m. (Los Angeles Time); the Participant has to connect on the Yubo
application and enter the Livestream launched by the Organizer on the Yubo application.
- During these live streams, the Participant may “raise his/her hand” with the dedicated feature
for this on Yubo, to notify the Organizer that s/he wants to participate in the Contest and this
first trial.
- The Organizer will authorize, one by one, the Participants to be “streamer” in the live stream,
in order for them to take this trial: sing one song of their choice, within a two minutes time
limit.
- Each live stream will last one hour and thirty minutes. The number of users that will be able
to enter the Contest and become Participants is limited to the duration of both live streams.
The Organizer is not responsible for users that will not be able to enter the Contest due to the
time limit.
- At the end of each live stream, the Organizer will announce the Participants selected to
continue the Contest and enter the next trial “The Battles”, to each winning Participant, by
direct message on Yubo, within one hour and thirty minutes after the end of the live-stream.
- The number of Participants to be selected for The Battles is twelve (12) (the “Shortlisting
Winner(s)”).
2/ The Battles
The Battles is the second trial of the Contest, only opened to the Shortlisting Winners.
- On May 22nd, 2021, at 8:00 p.m. (Los Angeles Time) the Shortlisting Winners have to
connect on Yubo and enter the live stream launched by the Organizer. Before The Battles
begin each Shortlisting Winner will receive a direct message on Yubo from the Organizer
with the name another Shortlisting Winner s/he will have to contend with during The Battles.
- The principle of The Battles is for each Shortlisting Winner to contend with a designated
Participant. Each Participant has to sing one song of their choice and each performance is compared with the performance of the other Participant previously designated by the
Organizer (a/the “Battle(s)”). Thus, there will be six (6) Battles with each time two
Participants.
- Yubo’s users watching the live stream during The Battles will be able to choose their favorite
Participant for each Battle using the feature “Would You Rather”. The Participant with the
most votes wins his/her Battle (the “Battles Winner(s)s”). The users have to vote during the
limited time given by the feature “Would You Rather”.
- Each Battles Winner may continue the Contest and participate in the last trial: The Final.
There will only be six (6) Battles Winner.
3/ The Final
- The Final is the third and last trial of the Contest, only opened to the Battles Winners.
- On May 29th, 2021, at 8:00 p.m. (Los Angeles Time) the Battles Winners have to connect on
Yubo and enter the live stream launched by the Organizer.
- The principle of The Final is for each Battles Winner to sing two songs of their choice, one
after the other.
- A jury consisting of one expert and two people from the teams of the Organizer will judge
each performance of the Participants to determine which Participant wins The Final and the
Contest (the “Winner”). The jury will give the name of the Winner at the end of all
performances.
General rules
- During each trial of the Contest the Participants have to turn on and face their camera.
- If a Participant does not show up to a trial, s/he is automatically eliminated.
ARTICLE 5: Prohibited actions
During the Contest, the Organizer may, at its own discretion and with no prejudice toward the
Participant, alert, disqualify or ban any Participant who, including but not limited to:
- Registers to the Contest with different accounts;
- Colludes with other Participants to create an unfair advantage;
- Engages in any form of cheating or act of piracy;
- Does not respect the integrity of the herein official rules, of the Yubo application Terms &
Conditions and Community Rules ;
- Demonstrates behavior that is, in the opinion of the Organizers, illegal, harmful, abusive,
harassing, threatening, malicious, defamatory, libelous, untruthful, pornographic, pedophilic,
obscene, vulgar, racist, xenophobic, incitement to hatred, sexually explicit, violent, contrary to
morality or is in any other way unacceptable.
ARTICLE 6: Endowments
Only the prizes listed below will be awarded for this Contest (“Prize(s)”):
- Prizes:
- One computer for a value of $1599;
- One DAW + Audio Interface + Cables for a value of $149,37;
- One Microphone & pop filters for a value of $229;
- One Microphone Stand for a value of $18,38;
- One set of headphones for a value of $99,95;
- Studio monitor for a value of $99,99;
- A set of Cables for a microphone for a value of $39,99
- One Adapter Mac for a value of $29,99.
The total amount of the value of the Prizes is $2265,67.
ARTICLE 7: Winner(s)’s selection
The Winner is selected through the trials described in ARTICLE 4, based on her/his performance, and
eventually selected by a jury of three people (an expert and two people for the Organizer’s teams).
ARTICLE 8: Awarding of the Prize(s)
The announcement of the winner(s) will be made on live stream, at the end of the Final, as described
in ARTICLE 4.
The Winner(s) must, by return email or private message, within seven (7) days from the dispatch of
the message, accept his/her Prize and send his/her postal address to claim the Prize. After this period,
s/he will be deemed to have waived the attribution of his/her Prize. The unallocated Prize will not be
distributed. The Prizes are not exchangeable or replaceable against another object or endowment, nor
against any monetary value, and cannot be partially nor fully refunded. By entering the Contest, the
winner(s) acknowledge that the Organizer has not and will not provide or obtain any insurance of any
kind relating to the Prizes and that each winner will be responsible for obtaining and paying for any
insurance.
ARTICLE 9: Responsibility of the Organizer
In case of force majeure or if exceptional circumstances require so, the Organizer reserves the right to
shorten, extend, modify or cancel this Contest, to replace the Prize(s) with a prize of similar nature
and value. The Organizer can’t be held liable for this. The Organizer can’t also be held responsible for
delays, losses, damages, lack of stamps’ readability because of the postal services. The Organizer
cannot also be held responsible and no appeal can be brought against them in case of occurrence of
events of force majeure (strikes, bad weather ...) or event beyond his or her control (including
technical problems) preventing the holding or the smooth running of the Contest and / or partially or
totally depriving the winner(s) of the benefit of his / her Prize(s). Similarly, the Organizer reserves the
right to cancel or modify the Contest if any act of fraud or technical failures destroy the integrity of
the Contest, as defined by the Organizer, in its sole discretion, and to award the Prize(s) on the basis
of eligible entries registered prior to the cancellation.
ARTICLE 10: Personal data
In the context of the Contest, and of the use of Yubo application subject to its Privacy policy, the
Participants communicate to the Organizer personal data concerning them and have consented to the
processing of the data. The information and data collected during the validation of the participation in
the Contest are exclusively intended for the Organizer, for the time of the Contest, or in respect of
legal obligations. They are necessary for the participation and management of the Contest. The
Organizer commits to respect the provisions of the law “Informatique et Libertés” of January 6th 1978,
in its current version, as well as any other regulation applicable to the processing of personal data and,
in particular, the regulation (EU) 2016/679 of the European Parliament and of the Council of April
27th, 2016. Each Participant may exercise at any time the rights to access, rectify, and erase his/her
personal data, and his/her right to object and limit the processing, contacting the Organizer directly.
ARTICLE 11: Official rules application and applicable law
Participation in this Contest implies full and unreserved acceptance of these official rules. No oral or
telephone request concerning the interpretation or application of the general regulations and the
special conditions will be answered. Any dispute or claim relating to the Contest must be made in
writing and cannot be taken into consideration beyond the period of one month from the closing date
of the Contest. Any contentious interpretation of the official rules, as well as all unforeseen cases, will
be decided by the Organizer.
The conduct of the Contest and the interpretation of the official rules are subject to French law. Any
fraud or non-compliance with the official rules may result in the exclusion of its author from the
Contest, the Organizer reserving the right, where applicable, to initiate legal proceedings against it.
